Terms of Service

1. Acceptance of Terms

By accessing or using the Ellie N Leo website and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

Ellie N Leo Pte. Ltd. ("Ellie N Leo", "we", "us", or "our") reserves the right to update these Terms at any time. Material changes will be communicated via email or a notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Account Terms

• You must be at least 18 years of age or the legal age of majority in Singapore to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must provide accurate and complete information during registration and keep it up to date.
• You may register using email and password, or via Google, Apple, or Facebook single sign-on.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Orders and Payment

• All prices are displayed in Singapore Dollars (SGD) and are inclusive of any applicable discounts.
• Goods and Services Tax (GST) at the prevailing rate of 9% is applied to all orders and will be displayed at checkout.
• Payments are processed securely through Stripe. We accept major credit and debit cards.
• An order is confirmed only after successful payment processing. You will receive an order confirmation email.
• We reserve the right to cancel orders due to pricing errors, stock unavailability, or suspected fraud. A full refund will be issued in such cases.

4. Shipping and Delivery

• We deliver within Singapore only.
• Free delivery is provided for orders totalling $25 or above (before GST).
• A flat shipping fee of $1.99 applies to orders below the free delivery threshold.
• Estimated delivery times are provided at checkout and are not guaranteed. We will notify you of any significant delays.
• Risk of loss passes to you upon delivery to the specified address.

5. Toy Rental Terms

• Toy rentals operate on a deposit-based model. You pay a refundable deposit upfront when renting a toy.
• Upon returning the toy in good condition within the agreed rental period, your deposit will be refunded minus the applicable rental fee.
• A late fee of $5.00 per day is charged for toys returned after the agreed return date.
• Toys must be returned in the same condition as received, with all original pieces and packaging. Damage beyond normal wear and tear may result in deductions from your deposit.
• Failure to return a rented toy within 14 days past the due date may result in the full deposit being retained.
• Returning toys on time earns you 40 loyalty points as a bonus.

6. Toy Exchange Terms

• The Toy Exchange programme allows registered users to list toys they no longer need and browse toys listed by other users.
• All listed toys must be in safe, functional condition suitable for children. We reserve the right to remove listings that do not meet our safety standards.
• Ellie N Leo facilitates exchanges but is not responsible for the condition, quality, or suitability of exchanged toys beyond our listing guidelines.
• Exchange transactions may earn loyalty points as specified in the Rewards Programme.

7. Loyalty Programme Terms

• The Ellie N Leo Rewards Programme is available to all registered users and consists of four tiers: Little Explorer, Toy Adventurer, Play Champion, and Joy Ambassador.
• Points are earned based on your current tier rate (2 to 5 points per $1 spent) and through eligible activities such as writing reviews, referrals, and on-time rental returns.
• Points can be redeemed for rewards as described on the Rewards page. Points have no cash value and are non-transferable.
• We reserve the right to modify the programme structure, point values, and available rewards with reasonable notice.
• Points expire 12 months after the last qualifying activity on your account.
• Fraudulent or abusive activity may result in forfeiture of points and account suspension.

8. Educator Portal Terms

• The Educator Portal is available to verified educators and institutions (schools, childcare centres, enrichment programmes).
• Educator accounts require verification of credentials before access to bulk pricing and quotation features is granted.
• Bulk pricing discounts apply based on order quantity: 10+ units (5% off), 25+ units (10% off), 50+ units (15% off).
• Quotations are generated with references in the format ENL-Q-YYYYMMDD-NNNN and are valid for 30 days unless otherwise stated.
• Educator pricing is for institutional use only and may not be resold to the public.

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of Ellie N Leo or its licensors and is protected by Singapore and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from Ellie N Leo.

10. User Content

By submitting reviews, ratings, or other content to the Platform, you grant Ellie N Leo a non-exclusive, royalty-free, worldwide licence to use, display, and distribute such content in connection with our services.

You are responsible for ensuring that any content you submit does not infringe upon the rights of any third party and complies with applicable laws. We reserve the right to remove content that violates these Terms.

11. Limitation of Liability

To the maximum extent permitted by Singapore law:

• Ellie N Leo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
• Product descriptions and images are provided in good faith. Minor variations in colour, size, or appearance may occur.

12. Indemnification

You agree to indemnify and hold harmless Ellie N Leo, its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, misuse of the Platform, or violation of any applicable law.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
